Stibbe advises Jumbo family Van Eerd on acquisition of Hema

Stibbe advised Mississippi Ventures, the investment vehicle of the Van Eerd family (owners of supermarket chain Jumbo), on the acquisition of the remaining 50 per cent of the shares in HEMA. Mississippi Ventures is acquiring the remaining 50 per cent from investment company Parcom. This means that HEMA will now be wholly owned by the Van Eerd family.

Mississippi Ventures and Parcom jointly acquired HEMA in 2021, each with an equal 50 per cent stake. In recent years, HEMA has grown in terms of turnover, volume, profit and customer satisfaction. HEMA is an iconic Dutch retail chain with over 17,000 employees and a wide range of products for everyday life.

The acquisition will enable HEMA to continue investing in the brand and customer experience in the coming years in order to further develop its growth and appeal. Jumbo and HEMA will continue to operate independently and can strengthen each other thanks to this step.

The transaction is still subject to approval by the Netherlands Authority for Consumers and Markets (ACM) and the advice of HEMA's works council.

Update: Transaction completed

On February 11, 2026, the acquisition was successfully completed. After obtaining all necessary approvals from the ACM and a positive recommendation from HEMA's works council, HEMA is now wholly owned by the Van Eerd family through the new holding company Van Eerd Retail, which also owns Jumbo.

In addition to M&A advice, Stibbe also assisted the Van Eerd group in securing financing for the purchase of the HEMA shares.

HEMA is starting its 100th anniversary year with a solid foundation for further growth and investment in customer experience.
