We refer to our Corporate Alert of 26 March 2012 regarding proposed amendments to the Bidding Rules.

Today, 8 May 2012, the Decree of 9 March 2012 containing amendments to the Decree on Public Takeover Bids (Besluit van 9 maart 2012 houdende wijziging van het Besluit openbare biedingen Wft, het Besluit bestuurlijke boetes financiële sector en het Besluit artikel 10 overnamerichtlijn) and the Decree of 29 March 2012 containing amendments to the Exemption Decree Takeover Bids (Besluit van 29 maart 2012 houdende wijziging van het Vrijstellingsbesluit overnamebiedingen Wft) were published in the Bulletin of Acts and Decrees (Staatsblad).

Please use the following links for mark-ups of the current Decrees including the amendments: Decree on Public Takeover Bids and Exemption Decree Takeover Bids. Unfortunately, the changes are currently only available in Dutch. The amendments were summarized in our Corporate Alert of 26 March 2012.

Both Decrees are expected to enter into force on 1 July 2012, together with certain amendments to the provisions relating to public offers in the Financial Supervision Act (Wet op het financieel toezicht) pursuant to the Amendment Act Financial Markets 2012 (Wijzigingswet financiële markten 2012).

General Data Protection Regulation comes into effect

Short Reads - On 25 May 2018, the European Union's General Data Protection Regulation (GDPR) came into effect. The GDPR replaces the EU's prior directive governing the processing and transfer of personal data, which was in place since 1995. As a regulation, the GDPR is directly applicable in all 28 EU member states and thus removes the need for national implementing legislation. However, the GDPR allows member states discretion in certain areas, as a result of which national legislation may still be implemented. In the Netherlands, the GDPR Implementation Act came into effect on 25 May 2018.
