Corporate Restructuring

A key aspect of our work is to establish confidence between the business, its shareholders and creditors – implementing restructuring projects of any complexity.

Acting on financial and tax restructurings, we handle issues regarding national and international sale and acquisition transactions, cross-border mergers, share buy-back schemes, capital increases and decreases, equity and dividend stripping, simplification of group structures and company liquidations.

By creating close working partnerships with our clients, we help them to overcome any financial difficulties through pragmatic and practical solutions. In this way we regularly assist financial advisors, companies, management, shareholders and governments. Besides providing an advisory role, we also conduct legal proceedings, if necessary, to achieve the restructuring of the debtor.

Proposed EU Directive to help companies move across borders

Short Reads - On 25 April 2018 the European Commission proposed a new directive, amending the EU Directive 2017/1132 on company law. The proposed rules should support companies in moving from one EU country to another, i.e. cross-border mergers, divisions or conversions. However, the proposed rules for cross-border divisions and conversions will also require companies to get prior consent from a competent national authority before moving. Who will act as such authority is not clear yet.

Amended Shareholders' Rights Directive adopted

Short Reads - On 9 June 2017 a new EU directive entered into force (2017/828/EU). The Directive amends the existing Shareholders Rights Directive (2007/36/EU). The European Commission aims through the amended Directive to encourage effective and sustainable shareholder engagement in listed companies. The amended Directive will need to be implemented in Member States by 10 June 2019.
