We are active in many capital markets areas with a strong track record in debt capital markets (DCM), equity capital markets (ECM), securitisation, structured finance and regulatory matters.

We understand the vital importance of international coverage for capital markets, and so our practice consists of lawyers from our Amsterdam, Brussels, Luxembourg, Dubai, London, and New York offices. We also draw on the expertise from our international network of preferred firms, enabling us to provide effective cross-border assistance.

Entry into force of the RBE Regulation and update

Articles - The Grand-Ducal Regulation of 15 February 2019 on the registration, payment of administrative fees and access to information recorded in the register of beneficial owners (the “RBE Regulation”) entered into force on 1 March 2019 and depicts the practical aspects of the Law of 13 January 2019 establishing a beneficial owner register (the “RBE Law”). Another document, the LBR Circular 19/01 (the “Circular”) issued by the Luxembourg Business Registers on 25 February 2019  further describes the new register of beneficial owners (the “RBE”) with the aim of helping users.

Implementatie van de Herziene Aandeelhoudersrechtenrichtlijn

Short Reads - Op 9 juni 2017 is de Herziene Aandeelhoudersrechtenrichtlijn (2017/828/EU) in werking getreden. Deze richtlijn dient uiterlijk op 10 juni 2019 in de nationale wet- en regelgeving te zijn geïmplementeerd. In Nederland is daartoe op 16 oktober 2018 een wetsvoorstel bij de Tweede Kamer ingediend. Hoewel de Herziene Aandeelhoudersrechtenrichtlijn van toepassing is op beursvennootschappen, worden in het wetsvoorstel ook enkele wijzigingen voorgesteld voor de N.V.
