Investment Management

Focussing on all three aspects of asset management: collective portfolio management, individual portfolio management and depository services, our integrated team covers all relevant legal areas across the Benelux, including financial regulatory, corporate and tax law.

We handle these complex matters for a broad range of clients including banks, custodians, investment firms, fund managers and professional investors.

Regarding collective portfolio management (UCITS, AIFs, pension funds, REITs, hedge funds and private equity funds), we act on the entire range of legal issues and regulatory requirements relating to the structuring, management and marketing of funds.

With respect to individual portfolio management, our asset management team advises the managers of both professional investors’ portfolios as well as retail investors’ portfolio on all corporate, tax and regulatory aspects. We handle matters such as licensing requirements, negotiation of asset management mandates, compliance with MiFID requirements, and high profile litigation.

We also advise custodians, depositories and their clients on various issues including ownership of securities, segregation of assets, rules of conduct and investment compliance.

UBO-register moet medio 2018 operationeel zijn

Short Reads - Medio 2018 zal volgens de voormalige staatssecretaris van Financiën het Ultimate Beneficial Owner (“UBO”) register (“UBO-register”) in Nederland operationeel moeten zijn. In dit register dienen rechtspersonen zelf informatie over hun UBO bij te houden. Het UBO-register moet helpen voorkomen dat het financiële stelsel wordt gebruikt voor het witwassen van geld of voor terrorismefinanciering. Er is tot op heden nog geen wetsvoorstel ingediend.

Voorontwerp UBO-register

Short Reads - Op 26 juni 2017 diende de Vierde Anti-witwasrichtlijn en daarmee de regeling van het UBO-register in de Nederlandse wet- en regelgeving te zijn geïmplementeerd. De wetgever heeft deze deadline niet gehaald. Het Ministerie van Financiën laat weten dat implementatie pas in de tweede helft van 2017 wordt verwacht.

The Growth of Collective Redress in the EU: A Survey of Developments in 10 Member States—the need to maintain safeguards

Articles - In 2013, the European Commission adopted a Recommendation on Collective Redress. It invited Member States to adopt a collective redress framework by July 2016 that would include the features mentioned in the Recommendation and then by July 2017, to report to the Commission about the extent to which they had done so. On the basis of the Member States’ report, the Commission will assess whether further actions by the EU is required.

Double-up for Money Market Funds — Council adopts Regulation

Articles - Money market funds (“MMFs”) provide short-term finance to financial institutions, corporations, and governments. The (non-binding) Guidelines on a common definition of European money market funds” (“Guidelines”), which were adopted by the Committee of European Securities Regulators (CESR) on 19 May 2010, were applied by 12 Member States only. In view of this, the Council of the European Union (“Council”) adopted the Regulation on money market funds (“MMF Regulation” or “MMFR”) on 16 May 2017, which will apply directly in all Member States.

UBO Register and Central Register of Shareholders

Short Reads - In February 2016, the Minister of Finance outlined how the Ultimate Beneficial Owner (''UBO'') register (''UBO register'') will be implemented in the Netherlands. The obligation to introduce a UBO register derives from the Fourth Anti-Money Laundering Directive (2015/849/EU) (the "Directive"), which entered into force on 25 June 2015.
