Foreign Direct Investments & Foreign Subsidies

Investors in Europe are faced with an expanding array of foreign direct investment screening mechanisms and other potential regulatory hurdles. Our home jurisdictions of the Netherlands, Belgium and Luxembourg often play a pivotal role in directing investment flows from and into the EU and other countries around the world.

Our experience across the relevant legal regimes enables us to guide our clients through each stage of their investments. Our FDI team will map out potential FDI filings and deal with any resulting investment screening obligations (within Europe or abroad) in consultation with our corporate and tax teams who advise on, and implement, the most suitable investment structure or appropriate FDI-related clauses in the transaction documentation. In addition, we advise on the implications of imminent future rules for companies benefiting from subsidies received from non-EU governments; once the new rules have entered into force, we will deal with any filing obligations.

Established relationships with governmental departments in the Netherlands, Belgium and Luxembourg, and with European institutions, provide our clients with access to up-to-date information and assist them in establishing a network to help achieve their business purposes.

What to expect when you are expecting: broader investment screening in the Netherlands

Short Reads - On 8 September 2020, a draft bill setting up an ex-ante and ex-post screening mechanism for investments in companies active in vital processes or sensitive technology in the Netherlands was published for consultation.
