Stibbe advises Vereniging Aegon on its restructuring
Stibbe is advising Vereniging Aegon in connection with its intended restructuring following Aegon's proposed redomiciliation to the United States.
Vereniging Aegon has announced an agreement with Aegon to adopt a new structure under which it will be separated into two independent entities, each with a distinct mission. Vereniging Aegon Americas will continue as anchor shareholder of Aegon, holding an approximately 18% interest. A newly established charitable foundation, Stichting Aegon Fonds Nederland, will receive EUR 500 million in initial assets and will carry forward and further develop Vereniging Aegon's longstanding charitable and societal activities in the Netherlands, guided by Aegon's purpose of "Helping people live their best lives."
The restructuring is subject to shareholder approval for the redomiciliation of Aegon at an EGM which is expected in Q4 2026, with Aegon Fonds Nederland set to become operational in the course of 2027.
