Samuel Gray

Sam is a senior associate in the Equity Capital Markets Group in our Amsterdam office, where he specialises in initial public offerings, rights issues, and secondary offerings.

With a commitment to delivering pragmatic and value-adding legal advice based on the commercial interests of his clients, Sam regularly advises issuers, selling shareholders, and underwriters in equity capital markets transactions.

In addition, he has been involved in a number of general corporate matters over the past few years, including venture capital financings in the life sciences industry, a strategic partnership in the oil & gas and renewables industries, and a public offer for a Euronext Amsterdam-listed company in the media industry.

Sam co-wrote the IBA Float Guide for The Netherlands: How to Float a Company on Euronext Amsterdam.

Prior to joining Stibbe, Sam was an associate in Goodwin Procter’s New York office as a member of its Technology and Life Sciences Group. Whilst there, he specialised in venture capital financings, capital markets offerings, and general corporate matters.

Sam holds a Juris Doctor from Brooklyn Law School (2012), graduating cum laude, and a Bachelor of Arts in History from the University of Richmond (2007). During this time, he participated in an international law exchange program at Leiden University (2006).

In 2018, Sam completed the Stibbe MBA Highlights Program at INSEAD in Fontainebleau, France.

ESMA Consultation Papers regarding Technical Advice

Short Reads - On 6 July 2017, the European Securities and Markets Authority (“ESMA”) published three consultation papers setting forth technical advice in respect of prospectus simplification efforts.  The recently-published Prospectus Regulation requires the European Commission (the “EC”) to adopt delegated acts in a number of areas within 18 months after the regulation’s entry into force, and in February 2017 the EC formerly requested ESMA to draft technical advice in connection therewith.
