Een grensoverschrijdende omzetting van een vennootschap is tot op heden in Nederland niet geregeld bij wet, maar de grote lijnen werden wel al uitgezet in jurisprudentie van het Europese Hof van Justitie. Vooruitlopend op de wet haalde kandidaat-notaris Bianca Geuze-Draaijer van Stibbe het Grieks-Cypriotische bedrijf Frigoglass naar Nederland.
